This is in response to the Exchange’s request for additional information on the solar power plant project in Palauig, Zambales. The Palauig Power Project (the “Project”), a ~60 megawatt solar power plant, will be undertaken by AC Energy Development, Inc. though a wholly owned project company, Gigasol 3, Inc. The Project will have an estimated construction cost of USD37 million and will be funded by equity. Project completion is expected in 2020. The plant will likely be operated as a merchant plant, delivering power to the grid at spot market rates. The Project will contribute to the fulfillment of the Company’s goal of achieving 2 GW of attributable renewable energy capacity by 2025. AC Energy Development, Inc. is a subsidiary of AC Energy, Inc.

AC Energy is the energy platform of Ayala, one of the largest business groups in the Philippines. AC Energy is one of the fastest growing energy companies with over $1 billion of invested and committed equity in renewable and thermal energy in the Philippines and around the region. The company aspires to develop 5 GW of renewables capacity and generate at least fifty percent of energy output from renewables by 2025.
